Well, let's work backwards. You have a 6 MB limit (48 megabits), for a 40
second project. Therefore you can encode at a combined bit rate of about 1.2
megabits per second which is quite respectable. In fact, there are plenty of
presets that you could use. At the moment I am sitting at a Final Cut Studio
1 system with Compressor 2 in it so I don't have, at my fingertips, settings
that might be available in Compressor 3 or 3.5. But on this system, you have
800 kbps settings for download or streaming video as well as iPod setting at
600 kbps.

Since it is so short, I would use a two-pass setting. And, since you have so
much room for data, I might stick with 128 kpbs stereo audio. And you still
have over 1000 kpbs available for video.
